7/10/2019 - Delaware Court Business Insider published an article by BR&B associate Julie B. Palley about a recent Chancery Court decision reaffirming the standard that courts should employ when scrutinizing directors’ decisions on their own compensation.  The directors are required to justify those decisions under the “entire fairness standard.”  Stein v. Blankfein, No. 0354, 2017 (Del. Ch. May 31, 2019).  Under that standard, directors must show that both the amount of compensation and the process by which it is determined is "entirely fair" to the company.  The article is reprinted here with DCBI’s permission.
