Corporate Governance

BR&B is at the forefront of efforts to change the way corporations govern themselves. As a leading protector of shareholders, we see securities litigation as more than just a means to recover substantial money losses. We believe litigation is also an effective way to institute corporate reform and ensure that corporate directors and officers act responsibly for the benefit of current and future shareholders.

Corporate governance changes come in a variety of forms, including:
Structural changes to board selection
Independence for a majority of the board
Annual elections of all directors
Mandatory shareholder approval for “re-pricing” of executive stock options
Creation of corporate governance committees composed entirely of independent directors
Strict conditions on board actions taken without shareholder approval
