On December 4, 2025, BR&B Partner Jeff Golan participated in a Continuing Judicial Education program presented to more than 160 Pennsylvania State Court judges, including judges from every Pennsylvania Court of Common Pleas as well as from various appellate courts. The program, entitled “What Judges Should Know about Pa. Business Corporation Law,” discussed Pennsylvania derivative litigation and the fiduciary duties of officers and directors of Pennsylvania corporations. Jeff joined three lawyers from Morgan Lewis & Bockius on the presenter panel to discuss a broad range of corporate law topics, including:
- the fiduciary duties owed by officers and directors of Pennsylvania-incorporated companies,
- the universal demand requirement in Pennsylvania law and what goes into a Demand letter,
- the procedures and governing law pertaining to special litigation committees,
- how Pennsylvania’s corporate governance and derivative law differs from other states’ laws, and
- certain direct shareholder claims, including claims asserted under the federal Securities Act of 1933, that may be litigated in Pennsylvania state courts.
